Structuring Gaming Companies to Maximize the Return on an Eventual Sale and Common Issues in Sale Transactions – Tax, Financing & Commercial Considerations

Phil and Andy will offer an informal presentation on the kinds of issues that video gaming and special effects companies have to deal with in the event of a sale. Based on their experience from recent transactions, they will highlight the challenges that sellers will face in agreeing on a price and payment terms, as well as offer suggestions for structures that can be put in place at early stages to accommodate financing requirements, employee stock option plans and maximizing access to the capital gains exemption.
